Preface and Introduction
Welcome to use RunDoSolar Management Platform software and services! In order to use the RunDoSolar Management Platform (hereinafter referred to as “the Software”) and services, you should read and comply with the “RunDoSolar Management Platform License and Service Agreement” (hereinafter referred to as “the Agreement”). Please be sure to carefully read and fully understand the contents of the terms, especially the exemption or limitation of liability provisions. Limitations and exclusions of liability may be bolded for your attention.
Unless you have read and accepted all of the terms and conditions of this Agreement, you do not have the right to download, install or use the Software and related services. Your acquisition, download, installation and use of the Software shall be deemed to be your acceptance of this Agreement and your agreement to be bound by the terms and conditions of this Agreement.
This software is only for the use of individuals or companies that are able to enter into legally binding contracts in accordance with the relevant laws, therefore, your age must be over eighteen years old to obtain, download, install and use this software, if you do not meet the conditions, please do not obtain, download, install and use this software.
I. Scope of the Agreement
1.1 Scope of the applicable subject matter of the agreement
This Agreement is an agreement between you and Runjian Co.,Ltd (hereinafter referred to as “Runjian Co.,Ltd”) regarding your acquisition, download, installation and use of the Software. This Agreement describes the rights and obligations between Runjian Co.,Ltd and you with respect to the use of the Software and related matters. The term “User” or “You” refers to the individual or single entity that acquires, downloads, installs, or uses the Software.
II. About the Service
2.1 Content of the Service
The Service refers to the cross-platform RunDoSolar Management Platform provided by Runjian Co.,Ltd to the Users to display the data of the relevant photovoltaic, power consumption, power distribution and other equipment to the Users and the service of monitoring the relevant photovoltaic, power consumption, power distribution and other equipment (hereinafter referred to as the “Service”).
2.2 Forms of the Service
2.2.1 Your use of the Service requires you to download the Software. You may use the Software and the Service only for the purpose of accessing or using the Service.
2.2.2 The Software in the Service provides multiple application versions, including but not limited to iOS, Android, etc., and Users must select the software version that matches the installed terminal equipment.
2.3 Scope of the Service License
2.3.1 Runjian Co.,Ltd grants you a personal, non-transferable and non-exclusive license to use the Software. You may obtain, download, install, use, display and run the Software on a single end device.
2.3.2 You may make one copy of the Software for the purpose of using the Software and the Services, for backup purposes only. When you make a copy of the Software, you are deemed to have agreed to and strictly complied with all the terms of this Agreement.
2.3.3 All other rights not expressly granted herein and elsewhere in this Agreement, including any rights to Runjian Co.,Ltd's trade names, trademarks, service marks, logos, domain names, and other distinctive signs, shall remain with Runjian Co.,Ltd. Except with the written consent of Runjian Co.,Ltd, this Agreement does not authorize the User to use any other rights.
III. Access to software
3.1 Users can contact the Runjian Co.,Ltd software management specialist to obtain the Software, or from a third party authorized by Runjian Co.,Ltd to obtain.
3.2 If you obtain the Software or the installation program with the same name as the Software from a third party not authorized by Runjian Co.,Ltd, it may lead to unpredictable risks, and Runjian Co.,Ltd can not guarantee that the software can be used normally, and is not responsible for all legal liabilities and disputes arising from this, and economic property or other losses in all aspects.
IV. Software Installation and Uninstallation
4.1 Runjian Co.,Ltd may have developed different versions of the software for different devices, you should choose to download the appropriate version according to the actual situation for installation.
4.2 After downloading the installation program, you need to follow the steps prompted by the program to install correctly.
4.3 If you no longer need to use the software or need to install a new version of the software, you can uninstall yourself.
V. Software Updates
5.1 In order to improve the user experience, improve the content of the service, Runjian Co.,Ltd will continue to strive to develop new services and provide you with software updates from time to time (these updates may take the form of software replacement, modification, functional enhancements, version upgrades, etc.).
5.2 In order to ensure the security and functional consistency of the Software and Services, Runjian Co.,Ltd has the right to update the Software without special notice to you, or to change or limit the effect of some of the functions of the Software. If necessary, software updates will be published in the form of notices on the important pages of Runjian Co.,Ltd's customer service and technical support website.
5.3 After the release of a new version of the software, the old version may not be available. Runjian Co.,Ltd does not guarantee that the old version of the software continues to be available and the corresponding customer service, please check and download the latest version at any time.
VI. Principal Rights and Obligations Clause
6.1 Account use norms
6.1.1 Users need to register a Runjian Co.,Ltd account before using the service, but the ownership of the account belongs to Runjian Co.,Ltd. After completing the application for registration procedures, the User only obtains the right to use the Runjian Co.,Ltd account, and the right to use only belongs to the initial application for registration. At the same time, the initial application for registration shall not be given, borrowed, rented, transferred or sold Runjian Co.,Ltd account or otherwise licensed to non-initial application for registration of the use of Runjian Co.,Ltd account. The non-initial applicant registrant shall not use the Runjian Co.,Ltd account by gift, inheritance, lease, assignment or any other means.
6.1.2 Users are responsible for keeping the security of the registered account information and the account password, and the users need to bear the legal responsibility for the registered account and the behavior under the password. Users agree not to disclose account and password information to others under any circumstances. When you suspect that others are using your account, you should immediately notify Runjian Co.,Ltd.
6.2 Notes to Users
6.2.1 You understand and agree that: In order to provide you with effective services, the Software will utilize the processor and bandwidth and other resources of your terminal equipment. In the process of using the Software, data traffic costs may be incurred, and the user shall learn about the relevant tariff information from the operator on his/her own and bear the relevant costs on his/her own.
6.2.2 You understand and agree that: The Software consists of a variety of Internet applications and includes a variety of communications and information services over the Internet as part of its regular operation. Many of the communication and information service features are automatic and can be enabled by default. Installation and/or use of the Software indicates your acceptance of the communications and information services features of the Software.
6.2.3 You understand and agree that Runjian Co.,Ltd will use commercially reasonable efforts to safeguard the security of your data stored in the Software and the Services, but Runjian Co.,Ltd cannot provide a complete warranty in this regard, including, but not limited to, the following:
6.2.3.1 Runjian Co.,Ltd is not responsible for the deletion or storage failure of your data in the Software and Services;
6.2.3.2 Runjian Co.,Ltd may permanently delete your data from its servers if you stop using the Software and Services or if the Services are terminated or canceled. Runjian Co.,Ltd is not obliged to return any data to you after the data has ceased, been terminated or canceled.
6.2.3.3 Users must select the software version that matches the installed terminal equipment; otherwise, any problems or damages caused by the mismatch between the software and the terminal equipment model shall be borne by the users themselves;
6.2.3.4 Risks caused by unstable wireless network signals, small wireless network bandwidth, etc., such as failed login of Runjian Co.,Ltd account, incomplete synchronization of information, slow opening of the page.
6.2.4 You understand and agree that: Within the period of fee usage promised by Runjian Co.,Ltd, users can use the Software free of charge. After the expiration of the free use period, Runjian Co.,Ltd reserves the right to charge users for the replacement, modification or upgrading of the use of fees, such as the user refuses to pay or delinquent fees, Runjian Co.,Ltd has the right to cancel the user's right to use the Software and stop the service.
6.2.5 You understand and agree that: Runjian Co.,Ltd and/or its partners will provide users with various Internet and value-added services related to the Software in accordance with the development of the market and technology, including value-added services free of charge and for a fee. Runjian Co.,Ltd. and/or the cooperating units reserve the right to charge fees for the related value-added services and to change the charging standards and methods; if the related functions and/or technical support services are changed from free of charge to chargeable, Runjian Co.,Ltd. and/or the cooperating units will notify the users in an appropriate form, and the users can independently choose to accept or reject the charge, and guarantee that they will pay fees in accordance with the regulations on the related charges of Runjian Co.,Ltd. and/or the cooperating units in the use of chargeable functions and/or technical support services, and that the users will pay the fees in accordance with the regulations on the related charges of Runjian Co.,Ltd. and/or the cooperating units. If the user refuses to pay or defaults on payment, Runjian Co.,Ltd. and/or its partners shall have the right to stop the value-added functions or technical support services and recover the loss and compensation in accordance with the law.
6.2.6 You understand and agree that in order to use the Watermark Camera to display your current location, the Developer will collect your location information after obtaining your express consent.
6.2.7 You understand and agree that in order to use the Watermark Camera properly, the Developer will access your microphone after obtaining your express consent.
6.2.8 You understand and agree that in order to obtain the SN number of the device corresponding to the QR code, as well as to take pictures for uploading, the developer will access your camera after obtaining your express consent.
VII. Norms of User Behavior
7.1 Information content specification
7.1.1 The information content mentioned in this article refers to any content produced, copied, published and disseminated by users in the process of using the Software and services, including but not limited to Runjian Co.,Ltd account user name, phone number, address and other registration information, as well as other content generated by the use of Runjian Co.,Ltd account or the Software and services.
7.1.2 You understand and agree that: Runjian Co.,Ltd has always been committed to providing users with a civilized and healthy, standardized and orderly network environment, you may not use Runjian Co.,Ltd account or the software and services to produce, copy, publish, disseminate the following interference with the normal operation of Runjian Co.,Ltd, as well as infringement of the legitimate rights and interests of other users or third parties, including but not limited to:
7.1.2.1 Publishing, transmitting, disseminating or storing contents that violate national laws and regulations:
(1) Those that violate the basic principles determined by the Constitution;
(2) Endangering national security, leaking state secrets, subverting state power and undermining national unity;
(3) Damaging national honor and interests;
(4) inciting ethnic hatred and ethnic discrimination and undermining national unity;
(5) Undermining the state's religious policy and promoting cults and feudal superstitions;
(6) spreading rumors, disturbing social order and undermining social stability;
(7) Spreading obscenity, pornography, gambling, violence, terrorism or abetting crimes;
(8) Insulting or slandering others and infringing on their legitimate rights and interests;
(9) inciting unlawful assembly, association, procession, demonstration or gathering of people to disrupt social order;
(10) Acting in the name of an illegal civil organization;
(11) Containing other contents prohibited by laws and administrative regulations.
7.1.2.2 Publishing, transmitting, disseminating, or storing content that infringes on others' rights to honor, portrait, intellectual property, trade secrets, and other legal rights;
7.1.2.3 Involving others' privacy, personal information or data;
7.1.2.4 Publishing, transmitting, disseminating harassment, advertising messages, excessive marketing messages and spam or containing any sexual or sexual innuendo;
7.1.2.5 Other information that violates laws and regulations, policies, public order and morality, social morality or interferes with the normal operation of Runjian Co.,Ltd and infringes on the legitimate rights and interests of other users or third parties.
7.2 Norms for Software Use
7.2.1 Users may use the Software in accordance with this Agreement under the premise of complying with the laws and this Agreement.
7.2.2 Ensure that you close the Software at the end of the period of use of the Software in the correct steps. Runjian Co.,Ltd cannot and will not be liable for any loss or damage arising from your failure to comply with this paragraph.
7.2.3 When acquiring, downloading, installing, using, displaying, or running the Software, the User is deemed to have agreed to use the Software in accordance with this Agreement, subject to compliance with the law and this Agreement.
7.2.4 Unless permitted by law or the written permission of Runjian Co.,Ltd, you are not allowed to engage in the following behaviors during the use of the Software:
7.2.4.1 remove copyrighted information from the Software and any copies thereof
7.2.4.2 reverse engineer, reverse assemble, reverse compile, or otherwise attempt to discover the source code of the Software
7.2.4.3 Use, rent, loan, copy, modify, link, reproduce, compile, publish, distribute, set up mirror sites, etc. of the contents of which Runjian Co.,Ltd owns the intellectual property rights;
7.2.4.4 Copying, modifying, adding, deleting, connecting, running or creating any derivative works of the Software or the data released into the memory of any terminal during the operation of the Software, the interaction data between the client and the server during the operation of the Software and the system data necessary for the operation of the Software in the form of, but not limited to, the use of plug-ins, plug-ins, or third party tools/services not authorized by Runjian Co.,Ltd to access the Software and related systems. /services to access the Software and related systems;
7.2.4.5 By modifying or falsifying the instructions and data in the operation of the Software, adding, deleting or changing the functions or operating effects of the Software, or operating or disseminating to the public the Software or methods used for the above purposes, regardless of whether such acts are for commercial purposes or not;
7.2.4.6 Logging in to or using the Software and Services, or creating, publishing or distributing the above tools through third party software, plug-ins, extras or systems that are not developed or authorized by Runjian Co.,Ltd;
7.2.4.7 Interfering with the Software and its components, modules and data by oneself or authorizing others or third party software;
7.2.4.8 Other acts not expressly authorized by Runjian Co.,Ltd.
7.2.5 You understand and agree that Runjian Co.,Ltd has the right to choose the objects of service provision, decide the function settings, decide the objects and scope of function opening, data interface and related data disclosure based on the user experience, the operation safety of the Software or the related service platforms, the requirements of the platform rules, and the healthy development of the platforms and other comprehensive factors. For the following circumstances, it has the right to suspend or terminate the provision of the Service depending on the specific circumstances, including but not limited to:
7.2.5.1 Violation of laws and regulations or the provisions of this Agreement;
7.2.5.2 Affecting the service experience;
7.2.5.3 Existence of security risks;
7.2.5.4 Similar or identical to the existing major functions or functional components of the Software, or can realize the major utility of the said functions or functional components;
7.2.5.5 the interface, style, function, description or user experience is similar to that of the Software, which may cause the user to believe that the function or service he/she is using originates from Runjian Co.,Ltd or is authorized by Runjian Co.,Ltd;
7.2.6 If Runjian Co.,Ltd discovers or receives a report or complaint from others that the User violates the Agreement, Runjian Co.,Ltd has the right to impose penalties on the offending account at any time without notice, including but not limited to prohibiting the use of some or all functions, account blocking until cancellation.
7.2.7 You understand and agree that: Runjian Co.,Ltd has the right to impose penalties in accordance with reasonable judgment on violations of relevant laws and regulations or the provisions of this Agreement, to take appropriate legal action against any user in violation of the law and regulations to save the relevant information to the relevant departments, etc., the user should be solely liable for all the legal responsibilities arising therefrom.
7.2.8 You understand and agree that: because you violate the provisions of this Agreement or the relevant terms of service, resulting in or generated by a third party claims any claims, demands or losses, you should be independently liable; Runjian Co.,Ltd. suffered losses as a result of this, you should also be compensated.
VIII. Intellectual Property Declaration
8.1 Runjian Co.,Ltd is the intellectual property rights of the Software. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of the Software, as well as all information content related to the Software (including but not limited to text, pictures, audio, video, charts, interface design, layout framework, relevant data or electronic documents, etc.) are protected by laws and regulations of the People's Republic of China and the corresponding international treaties, and Runjian Co.,Ltd. is entitled to the abovementioned intellectual property rights, except for the rights to be enjoyed by the relevant right holders in accordance with the provisions of the law. R&C enjoys the above intellectual property rights, except for the rights to which the relevant right holders are entitled in accordance with the provisions of the law.
8.2 Without the written unification of Runjian Co.,Ltd or the relevant right holders, you shall not implement, utilize or transfer the above intellectual property rights for any commercial or non-commercial purpose by yourself or license any third party.
IX. Terminal Security Responsibility
9.1 You understand and agree that: the Software, like most Internet software, may be affected by a variety of factors, including but not limited to user reasons, quality of network services, social environment, etc.; may also be subject to a variety of security issues, including but not limited to the unlawful use of other people's user information, harassment of the reality; the user to download and install other software or access to other Web sites that may contain viruses, Trojan horse program or other malicious programs, threatening the information and data security of your terminal equipment, which in turn affects the normal use of the Software. Therefore, you should strengthen your awareness of information security and personal information protection and pay attention to password protection to avoid losses.
9.2 You shall not create, publish, use or disseminate malicious programs used to steal Runjian Co.,Ltd account number and other people's information and property.
9.3 Maintaining software security and normal use is the common responsibility of Runjian Co.,Ltd and you, Runjian Co.,Ltd will be reasonable and prudent in accordance with industry standards to take the necessary technical measures to protect the information and data security of your terminal equipment, but you recognize and agree that Runjian Co.,Ltd can not provide a full guarantee in this regard.
X. Others
10.1 You are using the Software that you are deemed to have read and agreed to be bound by this Agreement.
Runjian Co.,Ltd has the right to modify the terms of this Agreement when necessary. You may review the terms of this Agreement in the latest version of the Software. If you continue to use the Software after the terms of this Agreement have been changed, you are deemed to have accepted the modified Agreement. If you do not accept the modified agreement, you should stop using the Software.
10.2 The place of this Agreement is Guangzhou City, Guangdong Province, People's Republic of China.
10.3 The establishment, entry into force, fulfillment, interpretation and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws).
10.4 If any dispute or controversy occurs between you and Runjian Co.,Ltd, it should be resolved through friendly negotiation first; if the negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the people's court with jurisdiction in the place where this Agreement is signed.
10.5 The headings of all the provisions of this Agreement are only for the convenience of reading and have no actual meaning in themselves and cannot be used as the basis for the interpretation of the meaning of this Agreement.
10.6 This Agreement may exist in multiple languages, including Chinese and English, and if there is any conflict between the Chinese version and the version in other languages, the Chinese version shall prevail.
10.7 If any of the provisions of this Agreement are partially invalid or unenforceable for any reason, the remaining provisions shall remain in force and shall be binding on the parties.
10.8 The final interpretation of this Agreement shall be vested in Runjian Co.,Ltd. (End of text)
